REFERRAL PROGRAM

## Referral program terms and conditions

Plain-English terms for anyone who joins the Valley Home Construction referral program. Read this before you sign up, and keep it for later.

## 1. What this program is

Valley Home Construction ("we", "us") runs a referral program. If you send us a homeowner, and that homeowner signs a contract with us and makes their first milestone payment, we pay you $250 or more, based on the size of the job. That is the whole idea. Everything below explains the details.

These terms cover the referral program only. They do not cover any construction contract between us and a homeowner. Those are separate agreements.

## 2. Who can join

- You must be at least 18 years old.

- You must give us accurate information when you sign up: your real name, a working email, and a working phone number.

- One account per person. You may not sign up more than once under a different name to get around this.

- We can decline or remove anyone from the program for any lawful reason.

Realtors, designers, past customers, trade partners, and anyone else who wants to send us referrals are all welcome to join.

If you hold a California real estate license: we pay your referral fee to your brokerage, and your brokerage pays you under its own agreement with you. If the homeowner is or was your real estate client, tell them in writing that you may receive a fee from us. We do not pay a referral fee on a job tied to a home purchase closing or paid for with a renovation mortgage loan.

## 3. You are an independent referral partner, not an employee

When you join this program, you are not our employee. You are an independent referral partner. We do not control how, when, or whether you tell people about us. You do not work for us, and nothing in this program creates a job, a partnership, or an agency relationship between you and us.

You cannot make promises on our behalf. You cannot sign anything for us. You cannot quote a price to a homeowner. Only we give a homeowner a price and a contract.

## 4. Taxes and your W-9

Because you are an independent referral partner, we report what we pay you to the IRS on a 1099 form when required by law. You are responsible for your own taxes on anything we pay you. We do not withhold taxes from your payout.

You must submit a completed IRS Form W-9 before we send your first payment. No W-9 on file, no payout, even if a referral has already qualified. We will ask for your W-9 as soon as your first referral looks like it will qualify.

## 5. How a referral is tracked

When you join, we give you your own referral link. Every homeowner who reaches out through your link is tied to your account in our system. That is how we know a referral is yours.

If you send a homeowner our way by phone, text, or in person instead of through your link, tell us right away so we can attach that referral to your account before that homeowner contacts us on their own. A referral we hear about after the homeowner has already called us does not qualify.

If two referral partners both claim the same homeowner, the referral goes to whoever we can show contacted us first, based on our own records. Our records control.

## 6. When you get paid

You get paid $250 or more, based on the size of the job, after the homeowner signs a contract with us and makes their first milestone payment. That is the one moment that triggers payment. A homeowner who calls, gets a quote, or thinks about it does not trigger a payout. A signed contract and a first milestone payment does.

We pay after the trigger is met and your W-9 is on file. If a contract is later cancelled, refunded, or found to involve fraud, we may hold or take back the payout tied to it.

## 7. What can disqualify a referral

A referral does not qualify, and we can remove you from the program, if any of the following happen:

- You refer yourself, a spouse, or anyone else living in your household.

- You submit fake contact information or a fake lead.

- You misrepresent us, our pricing, our license, or our work to get someone to sign up.

- You claim to be one of our employees, agents, or representatives.

- You send spam, unsolicited bulk messages, or automated messages to promote your link.

- You bid on our business name or trademarks in paid search or paid ads.

If we find any of this happened, we can withhold the payout, remove you from the program, and ask you to return any payout already made on that referral.

## 8. This is not a license to act as a contractor or agent

Joining this program does not make you a licensed contractor, and it does not let you act as one. You may not offer to build, price, or sell construction work on our behalf. You may not represent yourself as licensed to perform contracting work through this program. If a homeowner wants a price or a contract, send them to us. This program is a referral, nothing more.

## 9. Term and how this ends

You are in the program from the day we confirm your sign-up until either side ends it. You can leave at any time by telling us. We can end your participation at any time for any lawful reason, and immediately if we believe you violated Section 7.

If you leave, or if we end your participation for a reason other than fraud or abuse, we still pay out any referral that already qualified before that point. If we end it for fraud or abuse, we can withhold unpaid amounts tied to the affected referrals.

## 10. Changes to this program

We can change these terms, the payout amount, or how referrals qualify. A change never removes a payout for a referral that already qualified under the terms in place at the time. We will post the current terms on this page, and using your referral link after a change means you accept the new terms.

## 11. No guarantee

We do not promise that any homeowner you refer will sign a contract with us. Whether we work with a homeowner is our decision alone. We do not promise any number of referrals, any payout amount, or any income from taking part in this program.
